Terms & Conditions
1. Introduction and Acceptance
1.1. The Service: Vibe Connect operates a vertical marketplace connecting “Visionaries” (clients/founders) with “Vibe Shippers” (vetted engineers) for the stabilization, hardening, and production deployment of AI-generated codebases.
1.2. Acceptance: By accessing or using the Vibe Connect platform, you agree to be bound by these Terms and Conditions. If you are using the Service on behalf of an entity, you represent that you have the authority to bind that entity.
2. User Roles and Responsibilities
2.1. Visionary (Client/Founder):
- Code Submission: Visionaries are responsible for ensuring they have the legal right to submit any codebase, intellectual property, or proprietary information for analysis and work.
- Milestone Funding: Visionaries must fund all agreed-upon milestones into the secure Escrow System before work commences.
- Acceptance Criteria: Acceptance of work is tied to the objective “Production Gating” criteria defined in the project scope (e.g., passing security scans, test coverage targets, successful deployment).
2.2. Vibe Shipper (Engineer):
- Vetting and Certification: Shippers must maintain their verified status and adhere to Vibe Connect’s quality standards.
- Work Quality: Shippers agree to perform work to the highest professional standard, specifically addressing the unique challenges of AI-generated code (technical debt, security flaws).
- Confidentiality: Shippers must treat all Visionary codebases and project details as strictly confidential and proprietary.
3. The Escrow and Payment System
3.1. Outcome-Based Escrow: Vibe Connect utilizes an outcome-based escrow system. Funds are released from escrow to the Vibe Shipper only upon the Visionary’s approval or upon verification that the objective Production Gating criteria for the milestone have been met.
3.2. Production Gating as Release Condition: The platform’s automated tools (e.g., CI/CD checks, security scanners) serve as verifiable conditions for milestone completion. Disputes will be mediated based on the objective data generated by these tools.
3.3. Fees: Vibe Connect charges a service fee (take-rate) on all payments processed through the platform. This fee is deducted from the Vibe Shipper’s earnings.
4. Intellectual Property and Code Ownership
4.1. Visionary Ownership: All intellectual property, including the original codebase and any modifications, improvements, or new code created by the Vibe Shipper during the project, belongs exclusively to the Visionary upon final payment and milestone release.
4.2. Platform IP: Vibe Connect retains all rights to its platform, AI analysis tools, matching algorithms, standardized workflow templates, and aggregated, anonymized data on AI-code failure modes and remediation playbooks.
5. Codebase Analysis and Data Usage
5.1. AI Analysis: Visionaries acknowledge that their codebase will be analyzed by Vibe Connect’s proprietary AI agents to infer stack, identify production gaps, and facilitate Vibe Shipper matching.
5.2. Data Moat: Visionaries grant Vibe Connect the right to use anonymized, aggregated data derived from the analysis and remediation of their codebase to improve the platform’s matching and tooling (the “Compounding Data Moat”). This data will never include proprietary source code or identifiable project details.
6. Disclaimers and Liability
6.1. Legal Status: Vibe Connect is a marketplace and workflow provider, not an employer of Vibe Shippers. Shippers are independent contractors.
6.2. Code Guarantee: While Vibe Connect vets Shippers and enforces Production Gating, we do not guarantee that a codebase will be entirely free of all defects, bugs, or vulnerabilities. The Visionary retains ultimate responsibility for the final product.
7. Governing Law and Dispute Resolution
7.1. Governing Law: These Terms shall be governed by the laws of the Abu Dhabi Global Market (ADGM), reflecting our strategic presence in the region.
7.2. Dispute Resolution: Disputes related to milestone completion or quality will first be subject to Vibe Connect’s internal mediation process, leveraging objective Production Gating data. Unresolved disputes will be settled by binding arbitration in the ADGM.
